These terms are written in plain language on purpose. They are still a contract.
1. Who this agreement is between
1.1 You are a business
ButterKit Retail is for businesses. By turning a Board on, you confirm that you are acting for a business (the “Shop”), not as a consumer, and that you are its owner or have its authority to accept these terms and to put the Board on its premises. “You” means the Shop and the person acting for it.
1.2 How you accept
You accept these terms when you start a subscription or trial through our checkout, sign in to the dashboard, or keep using the Service after a change to these terms. If you don’t agree, don’t turn the Board on. You can still keep the Board (see 2.1).
1.3 The wrong person turned it on
Each Board is set up for one Shop. If someone without authority turns a Board on, email us and we’ll cancel the subscription and release the Board. Until we hear from you, we treat the person who turned it on as authorized.
2. The Board
2.1 It’s yours, and it’s free
The Board is a gift. It becomes your property when it is delivered to you, whether we hand it to you, leave it at your counter, or mail it. We never charge for it, bill for it, or ask for it back, and you owe us nothing for it whether or not you subscribe. The Service that makes the Board do something is separate and is covered by Section 3.
2.2 What it is
The Board is a passive 3D-printed placard with an NFC chip inside. It has no battery, no power, no sensors, no camera and no microphone. It does nothing on its own: when a phone is held to it, the phone opens a web address that we control. The chip signs each tap so we can tell a real tap from a copied link.
2.3 Where you put it, and how you look after it
You decide where the Board goes and you are responsible for that decision. Keep it indoors, away from heat, liquids and the edge of the counter, out of foot traffic, and out of reach of small children. Mount or place it so it can’t fall on anyone. Don’t put it somewhere it could be mistaken for a payment terminal. The Board is not a toy, a sign for the public right-of-way, or a thing to lean on.
2.4 Keeping your Board working
The Board is yours, so looking after it is your responsibility (2.3). Keeping it working is ours, for as long as you subscribe:
- If it stops working, we replace it free. If the Board stops opening your page on a phone that can read NFC, or breaks in normal use on your counter, we replace it at no charge, as many times as it takes.
- If it’s lost, stolen or damaged by accident, the first one each year is free. We replace one Board per Shop each year at no charge. After that, replacement is at our discretion.
Tell us at hello@butterkit.app. We bring the new Board to you in the Los Angeles area, or mail it. It arrives set up for your Shop on your existing subscription, with no new trial and nothing to turn on again, and we retire the old Board’s address so taps on it stop reaching your page; until you tell us, they keep going there. If we can’t get a working Board to you within 7 days of hearing from you, we credit your subscription for the days you were without one.
Replacement, and that credit, are the only remedies for a Board that stops working. A lost or broken Board doesn’t pause or end your subscription. This promise doesn’t cover a Board that was opened, changed or copied (2.5), phones that can’t read NFC (3.2), or cosmetic wear such as the chalk face fading.
2.5 Don’t open it, change it or copy it
Don’t open the Board, remove or replace the chip, rewrite, read out, clone or emulate it, stick another tag, QR code or chip on it, or try to extract its keys or forge taps. If we see taps we believe are forged, we may ignore them, disable that Board, or end the Service for the Shop.
2.6 One Board, one Shop, one place
A Board is configured for a specific Shop at a specific listing. Don’t move it to another business, lend or sell it as a working ButterKit Board, or re-label it for anyone else. If you move locations, change your name or sell the Shop, email us and we’ll re-set it or transfer it with the subscription. A Board that is passed on without us will, at best, keep pointing at the old Shop.
2.7 What you write on or next to it
Anything you add to or display with the Board (chalk, a sign, a table tent, what staff say) is yours and your responsibility. It must comply with Section 4. “Tap for a free coffee” next to a review Board, for example, is an incentive for a review and is not allowed.
2.8 Our name on it
The ButterKit name and wordmark on the Board are our trademarks. You may display them on the Board as we supplied it, and only while you use the Service. You may not alter them, use them anywhere else, or suggest that we endorse the Shop. If we end this agreement for breach, we may ask you to take the Board out of public view, and you will. You keep the object either way.
2.9 When you’re done with it
When your subscription ends, the Board stays yours, but it stops doing anything useful (see 3.8). Please take it off the counter. We’ll take an unwanted Board back at no charge if you’d rather not throw it away.
3. The Service and your subscription
3.1 What the Service does
When someone taps the Board with a phone, we open a page for your Shop. Today that page offers one button that opens your Google review form, or, if you choose, a direct link you set (for example your Google Maps listing, your Instagram profile or your menu) from a list of destination types we allow. The dashboard shows you taps, Google opens and your listing’s current Google rating. Updates and new features we add to the Service are included in your subscription. We may change how pages look or retire a feature, and we’ll tell you before a change that affects your Shop.
3.2 What we don’t promise
We don’t promise that any tap becomes a review, that you will get any particular number of reviews, that your rating will change, that every phone can read the Board (NFC support and behavior differ by phone and settings), or that Google will keep offering review links, ratings or any feature we rely on. Our one commitment about reviews is the guarantee in 3.5, and it is a remedy, not a prediction. Tap counts and Google opens are informational. We may discount taps we believe are repeated, automated or forged.
3.3 Price, billing and taxes
The Service is $29 per Board per month, or $290 per Board per year, charged in advance through Stripe. Adding a Board raises the quantity on your subscription. Prices exclude taxes; where the law requires, we add and collect tax (California taxes software subscriptions from January 1, 2027). We may change prices with at least 30 days’ notice by email; the new price applies from your next renewal after the notice period. A discount tied to a specific Board (for example Friends & Family) stays with that Board and can’t be moved to another.
3.4 Trial and automatic renewal
A Board’s first subscription may start with a free 30-day trial, once per Board. A card is required up front and, unless you cancel before the trial ends, it is charged automatically when the trial ends and at every renewal after that. We send a reminder before the first charge. You can cancel at any time from your dashboard; cancellation takes effect at the end of the paid period. Apart from the guarantee in 3.5, there are no partial refunds.
3.5 The more-reviews guarantee
We stand behind the Board. If you’re not happy with the results, email refunds@butterkit.app and pick either remedy below. You don’t need to give a reason.
- More time. We add another 30 days free, up to two times. During your trial, we move its end date and email you the new one, and your card isn’t charged before it. After your first payment, we refund one month’s price for each Board instead, and your subscription carries on.
- Your money back. We refund your first payment in full and cancel the subscription. Section 3.8 then applies, and the Board stays yours.
You can use the guarantee until 30 days after your first payment. It comes with a Shop’s first trial only, however many Boards the Shop has, so a restart without a trial has no guarantee. A refund never exceeds what you’ve paid. The guarantee isn’t a promise of any number of reviews or any rating, and we may decline it if you breach Section 4. We may go further than this at our discretion; doing so once doesn’t commit us to doing it again.
3.6 Failed payments
If a payment fails we retry for about two weeks and the Service keeps working. If it still fails, Stripe cancels the subscription and 3.8 applies.
3.7 Your destination
You are responsible for the destination you choose and for having the right to send people there. We allow only certain kinds of HTTPS destinations, we may refuse or remove one, and we never offer destinations that forbid solicitation (such as Yelp). Changing modes changes what every tap does from then on.
3.8 Cancellation, release and restart
For 14 days after a subscription ends, Boards keep opening your page. After that we release them: a released Board shows a setup page instead of yours and can be turned on again, with no new trial. We keep your account’s settings for 12 months after release so you can restart with the same email, verified by a code; after 12 months we delete them, and any restart starts fresh.
3.9 Suspension and termination by us
We may suspend or end the Service for a Shop that breaches these terms, forges taps, uses the Board for anything in Section 4, or doesn’t pay. We may also stop offering ButterKit Retail entirely with at least 30 days’ notice, in which case we’ll refund any prepaid period after the end date.
4. Reviews and the rules that come with them
4.1 Google’s rules are your rules
Reviews happen on Google, under Google’s policies for Business Profiles and user content, not ours. You are responsible for your Google Business Profile and for following those policies, and for following the FTC’s rule on consumer reviews and testimonials (16 CFR Part 465) and any other law that applies to review solicitation where you are.
4.2 What you may not do with the Board
Using the Board or the Service, you may not: (a) offer anything (a discount, a stamp, a free item, a raffle entry, a tip) in exchange for a review, whatever its content; (b) ask only happy customers to tap, or route unhappy ones elsewhere (“review gating”); (c) have staff, family, or anyone paid by the Shop leave reviews; (d) write, edit or post reviews for a customer; (e) use it to collect personal information from customers; or (f) use it for a listing that isn’t the Shop’s. We built the Service so that it cannot do most of these, and we won’t add features that do.
4.3 Google can act
Google may remove reviews, change ratings, restrict a listing, or change its products, at any time and without telling us. None of that is a breach by us, a reason for a refund, or something we can fix. We are not affiliated with or endorsed by Google.
5. Customers who tap
The page a customer sees after a tap is ours, and our Privacy Policy governs it. We log that a tap happened (board, time, chip counter, outcome, coarse device class) and nothing that identifies the person; we don’t ask for or infer their location. We won’t show your customers advertising for anyone else. If you tell customers what the Board does, say what it actually does.
6. Your account and data
6.1 Your account
Your email address is your account. Keep access to it. Sign-in is by a code we email; a code never replaces the sign-in and anyone with a valid code is treated as you until you tell us otherwise.
6.2 What we keep and for how long
Owner records (email, business details, Stripe identifiers and subscription status), the destinations you set and the tap log. Payment details live with Stripe, never with us. Retention after release is set out in 3.8 and in the Privacy Policy.
6.3 Your Shop’s information
You own your Shop’s name, listing details and destination. You give us the right to show them on your tap page and dashboard and to pass a tap through to the destination you chose.
7. Ownership of the Service
The Service, its software, pages, designs, the Board’s design and the chip’s configuration are ours and our licensors’. These terms give you the right to use them with your Board while you are subscribed, and nothing more. Suggestions you send us are ours to use without obligation.
8. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE BOARD AND THE SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY AND NON-INFRINGEMENT. THE BOARD IS A GIFT AND COMES WITH NO WARRANTY. OUR ONLY COMMITMENT ABOUT IT IS THE REPLACEMENT PROMISE IN SECTION 2.4, AND ITS REMEDIES ARE THE ONLY ONES FOR A BOARD THAT STOPS WORKING. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR COMPATIBLE WITH EVERY PHONE, OR THAT IT WILL PRODUCE ANY NUMBER OF TAPS, REVIEWS OR RATING.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, LOST PROFITS OR REVENUE, LOST REVIEWS OR RATINGS, OR BUSINESS INTERRUPTION ARISING FROM THE BOARD OR THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR $100.
10. Your indemnity
You will defend and indemnify us against claims, losses and costs (including reasonable attorneys’ fees) arising from: where and how you placed, displayed or used the Board on your premises; injury or damage caused by the Board after delivery; anything you wrote or said about it; your destination; your Google Business Profile or review practices; or your breach of these terms or of the law.
11. Changes to these terms
We may update these terms. We’ll change the Effective Date at the top, and for a change that materially affects your rights or costs we’ll email you at least 30 days before it takes effect. Continuing to use the Service after that date is acceptance. If you don’t agree, cancel before the date and the old terms apply until the end of your paid period.
12. Disputes; governing law; venue
These terms are governed by California law. Either party may bring an individual claim in small-claims court. After a dispute arises, the parties may agree in writing to binding arbitration (AAA or JAMS, seated in California). Otherwise, exclusive venue is the state and federal courts in Los Angeles County, California, and you consent to jurisdiction there. There is no mandatory pre-dispute arbitration and no class waiver in these terms.
13. The rest
If a provision is unenforceable it is narrowed to the minimum needed and the rest stands. You may not assign this agreement without our written consent, except with a sale of the Shop that you tell us about; we may assign it to an affiliate or a successor. These terms, the Privacy Policy and your Stripe checkout are the whole agreement for ButterKit Retail and replace anything said during a visit or in a drop-off note. Not enforcing something once isn’t a waiver. We send notices to the email address on your account, and they count as received when sent; send notices to us at legal@butterkit.app. Sections 2.3, 2.5, 2.8, 4, 7 through 10 and 12 survive termination.
Questions: legal@butterkit.app. Cancellation and billing: the billing portal from your dashboard, or refunds@butterkit.app.
